Edward Schultz is a partner in the Business Transactions Department of Wildman Harrold. Edward represents privately-held and public companies in all areas of corporate law, securities law and corporate finance. He has particular experience in mergers & acquisitions, private equity, joint ventures, debt and equity offerings and secured lending.Representative Experience:
- Represented MGM MIRAGE in connection with multiple sales including Primm Valley Resorts hotel-casinos, Colorado Belle and Edgewater hotel-casinos and Golden Nugget Hotels and Casinos; provided counsel for its acquisitions of Mandalay Resort Group and Mirage Resorts, Inc.; and assisted in more than $13 billion in securities offerings and credit transactions in connection with secured and unsecured credit facilities, registered note offerings and 144A note offerings
- Represented a privately-held spirits manufacturer/distributor in connection with its proposed sale to Bacardi International Limited
- Represented VMG Partners in connection with multiple acquisitions, including Robert's American Gourmet Foods, Mighty Leaf Tea and Colorescience, Inc.
- Represented Hilco Consumer Capital in connection with acquisition and financing of Ellen Tracy, Caribbean Joe Apparel Group and Halston, including related private placements and bank financings
- Represented Fidelity National Financial, Inc. in connection with its acquisition of minority interest in a software company
- Represented privately-held specialty clothing manufacturer and distributor in connection with its stock sale to a private equity group
- Represented Metro Goldwyn Mayer in connection with its stock sale to a consortium led by Sony Corporation; with an issuer tender offer for 10 million shares; and a 15 million share tender offer by Tracinda Corp
- Represented Tracinda Corp. in connection with 28 million share tender offer for General Motors Corp
- Represented companies such as U.S. Bank and UPS Capital in connection with various secured and unsecured commercial loan facilities
- Represented management team in connection with restructuring and management buyout of privately-held manufacturer and distributor of personal organizer, portfolio and luggage products from its parent company
- Represented Knights Bridge Capital in connection with its acquisition and subsequent divestiture of Limos.com
