Our Private Equity Practice forms funds and raises capital with private equity sponsors, helps private equity funds make investments, and represents the portfolio companies of our private equity clients in a variety of transactions, including add-on acquisitions, initial public offerings, recapitalizations, dispositions, spin-offs, and institutional and bank financings. Our experience covers a broad cross-section of industry sectors including biotechnology, business services, consumer products, e-commerce, technology, financial services, health care, manufacturing, and retail.
We routinely advise the deal sponsors on all aspects of the relevant transactions, including debt and equity financing, deal and tax structure, merger and acquisition negotiation and documentation, due diligence, management arrangements, antitrust compliance, deal implementation, and ultimate disposition and refinancing. With broad experience in complex financing transactions and corporate business support, we bring together an interdisciplinary team experienced in all areas of corporate finance, business counseling, corporate governance, securities, tax, executive compensation, employee benefits, ERISA, employment and labor, technology and intellectual property, and litigation.
- Represents over 60 private equity and venture capital funds headquartered coast to coast in fund formation, raising capital, investment transactions, and regulatory compliance, including licensure issues for funds licensed as Small Business Investment Companies
- Represents private equity and mezzanine funds in raising, investing, and managing more than $2.5 billion in new capital commitments
- Represents numerous institutional limited partners in new fund offerings.
- Assists emerging fund managers in establishing corporate organizational and fund management policies and procedures
- Represented a private equity fund in the $40 million acquisition of a Michigan manufacturing company including equity investors and senior and mezzanine lenders
- Represented a business-development company in making an equity investment in a Tennessee-based building fixtures manufacturer; proceeds of the investment were used to help fund an acquisition by the portfolio company of another company in its industry
