Wildman Harrold’s Mergers & Acquisitions Practice counsels clients on a range of legal and business issues relative to acquiring and divesting of business units. From traditional asset and stock purchases and sales to leveraged buyouts and “going private” transactions, we have the experience and skill necessary to guide clients through these complex and often time-sensitive matters. Our attorneys draft and negotiate acquisition or disposition documents, organize transaction structures, analyze tax implications, and conduct due diligence. Our services extend to counseling on regulatory issues and innovative structuring of the deal. We also work with company counsel in completing selected aspects of transactions or in assisting with closing previously negotiated transactions—all aspects of a transaction necessary to meet our clients’ goals.
- Represented a U.S. business-development company in its acquisition of a controlling equity interest in a distressed German environmental remediation firm and in its senior loan to the German firm; this complex, international transaction required working with German and Ukrainian counsel to navigate those countries’ legal systems
- Represented our client through an auction process in an asset acquisition of a subsidiary of General Electric that distributes medical products, as well as the concurrent auction process and stock acquisition of the manufacturer of those products
- Represented a Fortune 100 company in connection with its $250 million investment in a venture capital fund formed by one of that company’s former executives
