Paul R. Diamond
Paul Diamond is a partner in the Business Transactions Department of Wildman Harrold. For over twenty-five years, Paul has concentrated his practice on corporate real estate representation, with an emphasis on handling all aspects of real estate holdings for U.S. and foreign-based multinational corporations. Paul has advised his clients on the development of industrial real estate, acquisitions, dispositions, leasing and subleasing, dispute resolution, and environmental remediation. In addition, Paul has significant experience representing clients in real estate–related aspects of mergers & acquisitions transactions and has negotiated a variety of national master services agreements for brokerage services and environmental remediation services. While Paul typically serves as sole counsel for a client's real estate matters, he is often introduced into problematic situations that local counsel find impossible to resolve, such as the disposition of environmentally contaminated properties.Representative Experience:
- As lead North American real estate counsel for Invensys plc., a global UK-based company, handled real estate–related aspects of their United States real estate holdings/portfolio work including the sale of several operating groups, negotiation of various aspects of sale and lease agreements, and the resolution of numerous freehold and leasehold issues, the transactions were valued at roughly one billion dollars
- Successfully negotiated a large build-to-suit transaction for Invensys Systems, Inc. in Houston, Texas, following two years of failed negotiations by local counsel for the company
- Successfully represented Vogt Valve Company in negotiation of an economic incentive package for the development of a new Vogt Valve facility in Jeffersonville, Indiana; handled all construction and development matters with respect to this site; in addition, was successful in absolving Vogt Valve's successor, Flowserve Corporation, of any liability under the economic incentive package following the closing of the plant
- Successfully represented Invensys plc. in a negotiation of a multisite bonded sale-leaseback arrangement, including extensive negotiations with investor representatives; project included over twenty industrial sites in the United States and was valued at approximately $50 million
- Has successfully represented numerous clients in the sale of environmentally contaminated properties in at least twenty states; clients have included operating concerns of American President Lines, Fasco Industries, Invensys Systems, Robertshaw Controls, Formica, All-Steel, Weavexx, Rexnord, and Powerware Corporation
- Negotiated the termination of leases and negotiated subleases for approximately twenty facilities incidental to the downsizing of Baan USA Inc.
- Represents Vascor, Ltd., a multimillion-dollar domestic company, in the acquisition of approximately one hundred acres of property near Detroit, and in the development of a major facility for industrial use
