Todd A. Bickel

Todd Bickel is a partner in the Business Transactions Department at Wildman Harrold. Todd represents a wide range of clients including real estate developers and investors, as well as businesses with real estate assets, in the acquisition, disposition, construction, development and leasing of shopping centers, industrial facilities, and residential developments. He also represents financial institutions in a variety of commercial loan transactions including real estate acquisition, development and construction loans, loan syndications, and loan participations. Todd has extensive experience negotiating and drafting sale and purchase agreements; retail, office and industrial leases; construction and development financing documentation; and all forms of development and usage documentation, such as restriction and easement agreements and site development agreements.

Representative Experience:

  • Represents several retail developers in the acquisition, development, disposition, and leasing of shopping center properties located throughout the Chicago metropolitan area and surrounding counties, as well as in Virginia and South Carolina, typically involving national and regional retail tenants including “big box” retailers, grocery store chains, and restaurants
  • Represented the lead bank in a loan syndication in connection with credit facilities totaling more than $290 million, secured by real and personal property located at twenty-six separate facilities in six states. The work included negotiating and preparing all real estate loan and collateral documentation, coordinating and working with numerous local counsel, and coordinating and administering all aspects of real estate-related due diligence and title and survey review. This financing provided the borrowers with proceeds for the acquisition of assets and working capital for the operation of processing, storage, and office facilities.
  • Represented a publicly traded residential developer in a $75 million financing transaction for the construction of a mid-rise condominium project in Chicago. The transaction involved negotiating a $61 million construction loan and a $14 million mezzanine loan as well as negotiating and preparing various joint venture agreements with the client’s joint venture partner.
  • Represented a prominent regional lumber company in all real estate aspects of its acquisition of a lumber business, including two lumberyard facilities in Wisconsin. This transaction included negotiating and preparing various acquisition documentation as well as coordinating and completing a so-called "reverse" 1031 exchange in connection with the closing.
  • Represented a residential developer in the acquisition and financing of a series of three apartment complexes in Arizona which the client converted into condominiums. The work included negotiating and preparing purchase and sale and related documentation as well as complex acquisition, construction, and mezzanine financing documentation for loans totaling more than $145 million.
  • Represented a residential developer in the acquisition and financing of a 355-unit apartment building and a parking garage in downtown Chicago that were to be converted into condominiums. The project involved a vertical separation of the residential units and garage portions from commercial space in the building which was acquired by a REIT. A complex reciprocal easement agreement was also necessary due to the mixed ownership and interrelationship of various portions of the building, including the mechanical systems, corridors, stairwells, facade, and roof.
