Joseph E. Bender
Joseph Bender is a partner in the Business Transactions Department of Wildman Harrold. A skilled tax attorney, Joe advises his corporate clients on a wide array of federal, state, local, and international tax issues. He represents a number of national and international clients in the tax aspects of private equity investments, mergers and acquisitions, and corporate restructuring–advising his clients on maximizing tax benefits among the parties. He also works with a number of real estate clients on issues including tax-free exchanges and tenant-in-interest transactions. A sophisticated tax planner, Joe advises a number of tax-exempt clients on issues relating to obtaining and maintaining exempt status, as well as a number of online companies on various sales tax related issues. Joe is AV rated by Martindale-Hubbell.Representative Experience:
- Represented Star I, Inc., a multi-tiered holding and operating company involved in a number of operating and investment businesses. At issue was a tax-motivated complex corporate restructuring, which had a value of more than $250 million.
- Represented the syndicator in a tax credit and façade investment of LaSalle Bank Theatre worth approximately $40 million. Tax issues included both Rehabilitation Tax Credits as well as façade charitable donations.
- Represented Altus Funds, a hedge fund buyer, on the $30 million purchase of a die cast metal company with operations in a dozen states, on issues relating to maximizing tax benefits among the parties and providing additional consideration for those tax benefits.
- Represented Summit Square, the owners of a 75-unit assisted living facility, in a minority owner buy-out and $16 million loan to rehabilitate the facility. Aided in issues relating to tax structuring the redemption and loss recapture issues.
